Industrial equipment procurement is won or lost in the commercial terms, not the purchase price, because delivery point, inspection rights, and delay remedies determine what an owner can actually enforce when a transformer arrives late or fails at site. The Incoterm chosen shapes every one of those outcomes.
This guide covers what Incoterms 2020 do and do not govern, how to select a rule for equipment that will be commissioned on site, how liquidated damages clauses are structured and capped, what inspection and expediting rights should be reserved, and how payment structure protects the buyer.
It is written for procurement leaders, project managers, and owner's engineering teams buying long-lead equipment such as transformers, switchgear, turbines, and rotating machinery.

Incoterms are eleven three-letter trade rules published by the International Chamber of Commerce that define who arranges transport, where risk passes, and who handles customs clearance. They are precise about those questions and silent on almost everything else.
Each rule answers who arranges and pays for transport, at what point risk of loss or damage passes from seller to buyer, and who handles export and import clearance. When a purchase order states a rule, a place, and a year, both parties are pointing at the same published rulebook rather than arguing later about who pays freight or absorbs a transit loss.
Naming the year is not optional in practice. The ICC advises that the safest incorporation states the rule, the named place, and the Incoterms edition, because omitting the year can create disputes that are difficult to resolve when editions differ.
The gap most buyers underestimate is how much Incoterms do not address. According to the Institute for Supply Management, Incoterms do not allocate responsibility for non-conforming goods or late delivery penalties, and warranty scope, inspection criteria, and acceptance testing must be set separately with measurable standards and timelines.
Several other matters sit outside their scope entirely: force majeure, breach, liquidated damages, dispute resolution, and the transfer of legal title. Incoterms also say nothing about price or payment method. Each requires its own clause under the governing law and venue the contract specifies.
The practical consequence is that a purchase order stating only an Incoterm is substantially incomplete for capital equipment. It settles freight and risk, and leaves delay, quality, and remedy unaddressed. Who carries that exposure also depends on whether the owner or a contractor holds the procurement scope.
Incoterm selection for industrial equipment should follow from who can practically manage transport, customs, and site delivery, and from where the buyer wants risk to pass. High-value, high-weight assets make the choice consequential.
The ICC itself advises traders to consider alternatives to EXW and DDP for international contracts. Under EXW the seller merely places goods at the buyer's disposal, which creates loading and export-clearance difficulties, while DDP places import obligations on a seller who may not be positioned to discharge them in the destination country.
The most common drafting failure in equipment contracts is merging delivery, inspection, and testing into a single precondition. Legal analysis of this conflict notes that many standard supply contracts treat inspection and testing of equipment as preconditions to Delivery, which is appropriate where the Incoterm is DDP and equipment arrives at site, but not where EXW applies.
The reason matters for anyone buying equipment that will be commissioned. Under EXW, delivery occurs at the seller's premises, while testing and commissioning happen far later once the equipment reaches the purchaser's site and is incorporated into the works. A contract making commissioning a precondition to delivery under EXW is internally contradictory.
The drafting discipline is to define Delivery, Date for Delivery, and Acceptance as distinct concepts that align with the selected Incoterm. Acceptance can then be tied to site testing without disturbing the risk transfer the Incoterm establishes.
Liquidated damages are the buyer's principal remedy when equipment arrives late, and they must be written into the contract because Incoterms do not provide them. For long-lead equipment, this clause is often worth more than any price concession negotiated.
A workable clause states a daily rate applied to the value of the delayed goods, pro-rated, with a defined cap. Published purchase terms from industrial buyers show rates in the region of 0.35% of contract price per calendar day of delay in one example, with other published terms using a weekly percentage capped at ten percent of the equipment value.
Three definitions determine whether the clause functions. Delivery must be defined precisely, whether as receipt at the buyer's facility, handover to carrier, or milestone acceptance, and it should include the required documentation. Adjustment must be limited to written change orders signed by both parties. And the cap must be stated, since an uncapped clause invites challenge.
Liquidated damages must represent a genuine pre-estimate of loss rather than a penalty, and that principle is what determines enforceability under most governing laws. The rate should be defensible against the buyer's actual exposure, including standby costs, extended overhead, and delayed revenue.
Supporting mechanisms strengthen the position. Published terms commonly require the supplier to notify the buyer in writing as soon as it becomes apparent that the schedule will slip, stating the reason and duration, and to bear the cost of expedited shipment where the buyer requests it to recover schedule.
A step-in right is the strongest protection. Where the supplier's own recovery measures prove insufficient, some terms permit the buyer to take necessary and reasonable measures at the supplier's cost, which converts a delay from a claim into an action.
Inspection and expediting rights let a buyer verify progress and quality before equipment ships, and they must be reserved in the contract because they do not exist by default. For long-lead items, they are the only visibility a buyer has during manufacture.
Expediting means actively monitoring supplier progress against the manufacturing schedule rather than waiting for a delivery date to pass. In practice it combines scheduled progress reporting with shop visits, since problems that cannot be resolved by correspondence require attendance at the vendor's works.
EPC contract terms commonly require expediting reports to be issued to the owner, with copies of shop visit findings. Establishing the reporting cadence and format at contract stage avoids the situation where the first indication of a problem is a missed date.
Witness inspection gives the buyer the right to attend factory testing before equipment ships. Published EPC terms establish a mutually agreed inspection procedure identifying which equipment the owner will inspect, the inspection milestones, and reporting methods, typically with two weeks' advance notice for the owner to attend.
Documentation timing should also be fixed. One published term set requires inspection reports to be submitted to the owner within ten days of receiving the manufacturer's final report, which prevents reports arriving after the equipment has already shipped.
Release for shipment is the control point worth reserving. Making shipment conditional on written release following satisfactory factory acceptance testing keeps defective equipment at the factory rather than at the buyer's site, where correction is far more expensive.
Payment milestones align the buyer's cash outflow with the supplier's actual progress, and they are the mechanism that preserves leverage through manufacture and commissioning. Paying against elapsed time rather than achievement removes that leverage.
A defensible structure ties payments to verifiable events: order placement, drawing approval, material receipt at the works, successful factory acceptance testing, delivery to site, and final acceptance after commissioning. Each milestone should require documentary evidence rather than supplier assertion.
Retention protects the tail. Holding a percentage until after commissioning and through the warranty period gives the buyer recourse for defects that appear only once the equipment operates under load, which is precisely when many manufacturing defects surface.
The interaction with delivery terms deserves attention. Where payment is due on delivery under an EXW or FOB arrangement, the buyer pays before the equipment has been anywhere near site, so retention and warranty terms carry the entire post-delivery protection.
Warranty terms determine what protection survives handover, and for capital equipment they should be negotiated against the operating profile rather than accepted as standard. A twelve-month warranty on a unit that will not be energized for eight months is worth four months of protection.
Three provisions materially change the value. The start point should run from commissioning or first operation rather than from delivery. The extension mechanism should restart or extend the warranty period on repaired or replaced components. And performance guarantees, where applicable, should be tied to measurable acceptance criteria rather than to general fitness.
Spare parts commitments belong in the same negotiation. A recommended spares list, price validity period, and guaranteed availability window protect the buyer against the situation where a component becomes unobtainable or repriced once the supplier holds an installed base.
Equipment procurement contracts draw on trade rules, quality standards, and the governing law of the contract, each addressing a different question.
Technical standards belong in the purchase specification, not the commercial terms. Naming the applicable IEEE, IEC, API, or ASME designation as the acceptance basis converts a subjective quality dispute into a measurement against a published requirement.
